WHISTLEBLOWER:

Under Directive (EU) 2019/1937 of the European Parliament and of the Council of 23 October 2019 on the protection of persons who report breaches of Union law, companies are obliged to set up whistleblowing hotlines.

This directive is also known as the EU Whistleblower Directive. It sets minimum standards for the protection of whistleblowers and requires companies with more than 50 employees or an annual balance sheet total of at least 10 million euros to set up internal whistleblower reporting offices.

The Whistleblower Reporting Office serves to provide our employees, candidates, investors and suppliers with a secure and confidential channel for reporting misconduct, malpractice or ethical violations within the company. Internal reports enable us to recognize and investigate any violations of laws or internal guidelines at an early stage. In this way, we can eliminate misconduct better and earlier before it causes major damage or lasting reputational damage. This policy sets out the procedures and expectations for using the reporting office.

Personal and material scope of application:

This policy applies to all employees, candidates, investors and suppliers of Ufenau Capital Partners and UFS, including executives, employees, interns and temporary workers.

The Whistleblower Reporting Office serves to uncover legal violations and breaches of our internal guidelines. The following in particular are therefore reportable

  • Criminal offences,
  • Administrative offences, insofar as the violated regulation serves to protect life, limb and health or to protect the rights of employees or their representative bodies, as well as
  • Offences against national and European legal acts in areas expressly named in the law (e.g. environmental protection, terrorist financing).

The whistleblower system is not used to report other grievances within the company or personal problems with other employees. Such reports will not be pursued and must be clarified directly with the respective line manager, the HR department or Investor Relations.

All persons are free to use external reporting offices. However, we would like to point out that internal reporting has the advantage that any alleged grievances can be rectified more quickly and directly by us internally. As a rule, this effectively prevents further damage from occurring – for example in the form of loss of reputation.

The procedure:
  • Confidentiality: All reports via the whistleblower reporting office are treated confidentially. The identity of the whistleblower (if known) is protected. The identity of the whistleblower is generally not disclosed. Exceptions exist, for example, if the whistleblower expressly consents to the disclosure of their identity or if disclosure is required by law or requested by a competent authority.
  • Reporting procedure: Those affected can report grievances or misconduct via the whistleblower reporting office. This reporting office is technical operated by Personio with support of an external Consultant and can only be accessed via the UCP homepage and is completely anonymous. The reports will be centralized at xx, who will deal with the matter accordingly.
  • Investigation: Reports submitted are reviewed internally by the responsible and independent persons and examined with an open mind. The person responsible decides whether and to what extent an investigation will take place. Once any investigation has been completed, the person responsible makes a recommendation to the company on possible follow-up measures. The Board of Directors receives a quarterly report on all reports, investigations and any measures taken.
  • Transparency and communication with the reporter: Reporting parties receive an acknowledgement of receipt of the report within seven days, are contacted with queries, if necessary, are informed of the further course of events within one month and are finally informed of any follow-up measures (no later than three months after the deadline for issuing the acknowledgement of receipt).
  • Protection against reprisals: Both we as a company and the law pursue the protection of whistleblowers. The company will ensure that employees are protected from reprisals.
  • False accusations: False or willful allegations will not be tolerated. Employees who intentionally make false or disloyal reports may be subject to disciplinary action.
  • Management responsibility: Managers are obliged to promote the whistleblower reporting office and ensure that employees are informed about their rights and options.
